1. Introduction

Welcome to the website of Sky Venture Studios ("Sky Venture Studios", "we", "us", "our"). These Terms of Use ("Terms") govern your access to and use of our website, any subdomains and any content, features, or services made available through it (collectively, the "Site").

By browsing, accessing or using the Site, you agree to be bound by these Terms and by all policies referenced in them, including our Privacy Policy, Cookies Policy and Refund & Billing Policy (together, the "Legal Terms"). If you do not agree, you must immediately stop using the Site.

This Site is provided by Sky Venture Studios, a Malaysia-based software and web development studio serving clients globally.

2. Information-only nature of the Site

The Site is provided for general information purposes only. Nothing on the Site constitutes:

• legal, financial, tax or other professional advice;
• a binding offer to provide services; or
• a guarantee of any result or outcome.

Any actual engagement of our services, including pricing, deliverables, timelines and responsibilities, will be governed by a separate Service Agreement or similar written contract between Sky Venture Studios and the relevant client (collectively, "Service Agreement"). In case of any conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail for the specific project.

3. Eligibility and geographic scope

The Site is intended for business users and professionals who are legally capable of entering into binding contracts in their respective jurisdictions. By using the Site, you represent that:

• you are at least the age of majority in your place of residence; and
• you are using the Site for legitimate, lawful purposes.

We operate from Malaysia and serve clients in multiple jurisdictions. However, we do not represent that the Site or its content is appropriate or available in all countries. You are responsible for complying with all laws applicable to your access and use of the Site from your location.

4. Changes to these Terms and to the Site

We may update, modify or replace these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms.

Any descriptions of services, packages, timelines or prices shown on the Site are illustrative only and do not constitute binding offers. Actual pricing, payment milestones, timelines, deliverables and responsibilities will be set out in the Service Agreement negotiated for each project.

We may update, correct or remove any information about services or pricing on the Site at any time without notice, and we are not obliged to honour any outdated information.

We are committed to handling personal data in a manner that is consistent with applicable data protection laws, including the Malaysian Personal Data Protection Act 2010 (PDPA) and, where relevant, the EU/UK General Data Protection Regulation (GDPR) and similar laws in other jurisdictions.

Where our liability cannot be excluded by law, our total aggregate liability to you in connection with the Site shall be limited to the greater of (a) the amount you have paid to us (if any) for access to the Site in the 3 months before the claim arose, or (b) equivalent of USD 100.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Sky Venture Studios, its directors, officers, employees, partners and agents from and against all losses, liabilities, claims, damages, costs and expenses (including reasonable legal fees) arising out of or related to:

• your breach of these Terms; or
• your violation of any law or third-party rights.

13. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict-of-law principles.

You agree to submit to the non-exclusive jurisdiction of the courts of Malaysia in relation to any dispute arising from or related to these Terms or your use of the Site. We retain the right to bring proceedings in any other court of competent jurisdiction where necessary to protect our rights.

14. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision shall be deemed severed and the remaining provisions shall continue in full force and effect.
